Wholesale Terms
These Wholesale Terms and Conditions ("Terms") are applicable to all wholesale transactions between Sheerun Enterprises Inc. ("Company", "we", "Sheerun") and the purchaser ("Buyer", "you"), for the purchase of durable baby products ("Products") in the United States and Canada. By placing an order with us, you agree to be bound by these Terms.
1. Account Setup and Requirements
To purchase wholesale products, Buyers must first complete an account application and be approved by Sheerun. Approval is at the sole discretion of Sheerun. All Buyers must be operating a retail business with a valid resale license and must agree to sell Sheerun products in a manner consistent with Sheerun’s brand image and policies.
2. Orders
Minimum Order Value: The minimum initial order value is $500. Reorder minimums are $250.
Order Placement: Orders can be placed through our designated sales representatives, official website, or email.
Order Confirmation: All orders are subject to acceptance and confirmation by Sheerun. An order confirmation will be sent to the Buyer detailing the products ordered, prices, and estimated delivery schedule.
3. Pricing and Payment
Prices for our Products are subject to change without notice. Prices confirmed in an order confirmation are guaranteed for that order.
Payment Terms: Payment terms are Net 30 days from the date of invoice, subject to credit approval. We accept payment by bank transfer, credit card, or check. The Net 30 days terms does not apply to credit card purchases.
Late Payment: A late fee of 1.5% per month will be applied to overdue invoices.
4. Shipping and Delivery
Delivery Terms: All orders are shipped FOB (Free On Board) from our warehouse. The Buyer is responsible for shipping costs, insurance, and any applicable taxes or import duties.
Shipping Damages: The Buyer must inspect the order upon arrival and report any damages or discrepancies within five (5) business days of receipt. Failure to report within this timeframe may result in the waiver of any claim.
Shipping fees exclude special freight services (e.g., lift gates, inside delivery). The Buyer is responsible for extra charges if needed.
Notify Sheerun if you can’t accept palletized orders. The Buyer covers costs for special handling.
Delivery notifications available upon request provided The Buyer includes contact details with the order.
5. Returns and Exchanges
Returns must be authorized by Sheerun in advance. Authorized returns must be in original, unopened condition and may be subject to a restocking fee. Returns must be made within thirty (30) days of receipt. A 15% restocking fee applies. Obtain an RMA # from customer service – unauthorized returns are rejected. The Buyer pays return shipping.
6. Warranty Claims
For factory defects, contact customer service at 1-437-536-5836 for an RMA number. Provide photos of the defects. Returns without an RMA # and photos will be rejected.
7. Order Cancellation
Any order cancellations must be made at least 10 days prior to ship date.
8. Intellectual Property
The Buyer agrees not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Products, use of the Products, or access to the Products without express written permission by Sheerun.
9. Limitation of Liability
Sheerun shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the products and services offered to the Buyer, even if Sheerun has been advised of the possibility of such damages.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sheerun operates, without giving effect to any principles of conflicts of law.
11. Amendment
Sheerun reserves the right to amend these Terms at any time. All amendments will be posted on the official Sheerun website and will be effective immediately upon posting.
